Commercial Counsel at Virta Health

Virta is the first company with a clinically-proven treatment to safely and sustainably reverse type 2 diabetes and other chronic metabolic diseases without the use of medications or surgery. Our innovations in nutritional biochemistry, data science and digital tools combined with our clinical expertise are shifting the diabetes treatment paradigm from management to reversal. Our mission - to reverse type 2 diabetes in 100 million people by 2025.

As the first solely dedicated commercial lawyer at Virta Health, you will be someone who is comfortable working in a high-performing, fast-paced, challenging environment. You will  have a broad range of responsibilities, with a primary focus on providing transactional support and day-to-day legal advice and negotiation for our Commercial team, but also involvement in a broader wider (and growing) array of business and legal matters, including network contracting,  data privacy, product counseling and health care regulatory regime.

   Requirements

  • 8+  years of relevant contracting experience including at least 2 years in-house
  • Experience with Software-as-a-Service (SaaS) transactions in growth-oriented, high tech companies preferred
  • Willing to roll up sleeves and be involved in all legal aspects of a fast growing company
  • Excellent interpersonal skills, business judgment, strategic thinking, superior work ethic, and highly team-oriented
  • Able to work efficiently with cross-functional teams and manage numerous projects simultaneously under deadline pressure
  • Superior language, written and oral communication skills 
  • Must have a JD from an accredited law school and be an active member in good standing of the California Bar (or Registered In-House Counsel)
  • Substantive expertise in data privacy and health care law a plus

Responsibilities

  • Interface with Sales, Customer Success/Support teams regarding the development and negotiation of contracts relating to sales and commercial activity
  • Ensure that deals close quickly and assist our deal desk function in efficient use of legal resources
  • Provide ongoing legal counseling to the business regarding regulatory compliance and risk management 
  • Develop and manage the form agreements for all commercial arrangements to keep pace with changes in the business and sales terms and best practices
  • Develop and manage our network contracting forms 
  • Assist (or lead) Virta’s regulatory and privacy compliance programs
  • Assist with product counseling questions and inquiries 
  • Draft and negotiate in-bound vendor agreements, with an eye towards security compliance and efficient vendor management

90 Day Plan

Within your first 90 days at Virta, we expect you will do the following:

  • Have worked on the commercial contract review process and have a good understanding of our commercial terms
  • Have taken primary responsibility for product counseling questions 
  • Established legal KPIs and a system for tracking them, including a baseline NPS survey
  • Understand our regulatory posture 
  • Identified areas for improvement in our legal systems and processes
